Terms of Service

These Terms of Service govern access to the website and services provided by WING AEROSPACE TECHNOLOGIES LLC ("WING," "Company," "we," "our," or "us"). By using our website or purchasing our services, you agree to these Terms.

1. Services

WING provides software development, technology consulting, cloud solutions, systems integration, automation, infrastructure services, technical support and related professional technology services. The exact scope of an engagement may be defined in a proposal, statement of work, invoice, order form or other written agreement.

2. Project Agreements

Separate written agreements may define project scope, deliverables, milestones, pricing, payment schedules, client responsibilities, intellectual property rights, support obligations, cancellation provisions and timelines. If a signed project agreement conflicts with these general Terms, the project agreement controls for that engagement to the extent permitted by law.

3. Client Responsibilities

Clients are responsible for providing information, credentials, approvals, content, access and feedback reasonably required for us to perform agreed services. Schedules may be affected by delayed responses, scope changes, third-party dependencies or circumstances outside our reasonable control.

4. Fees and Payment

Fees and payment terms will be communicated through an invoice, proposal, order form, statement of work or other commercial agreement. Customers agree to pay applicable charges according to the terms presented to them.

5. Taxes

Customers are responsible for applicable taxes, duties or governmental charges associated with purchases, except taxes imposed directly on our income, unless otherwise required by law.

6. Third-Party Services

Our services may use or integrate third-party technology. Third-party products and services are subject to their respective providers' terms, availability, pricing and technical limitations.

7. Intellectual Property

Unless otherwise stated in a written agreement, WING retains ownership of its pre-existing technology, methodologies, templates, frameworks, processes, know-how and tools. Ownership and licensing of custom deliverables will be determined by the applicable project agreement.

8. Acceptable Use

Customers may not use our services for unlawful activity, malicious software distribution, unauthorized system access, interference with networks or violations of third-party rights.

9. Confidentiality

Each party should take reasonable measures to protect confidential information. Specific confidentiality duties may be defined in a nondisclosure or service agreement.

10. Service Availability

Technology systems can experience interruptions due to maintenance, third-party providers, internet infrastructure, software defects, security events or circumstances outside reasonable control. Unless expressly provided in a separate service-level agreement, uninterrupted availability is not guaranteed.

11. Warranties

Any specific warranties applicable to professional services will be identified in the relevant service agreement. Except as expressly provided and to the extent permitted by law, services are provided without additional implied warranties.

12. Limitation of Liability

To the maximum extent permitted by applicable law, WING will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages arising from use of our website or services. Additional liability limitations may apply under a project-specific agreement.

13. Termination

We may suspend or terminate services where reasonably necessary due to material breach, non-payment, unlawful activity, security concerns or misuse, subject to applicable contractual and legal requirements.

14. Refunds and Cancellations

Fees for completed professional services are generally non-refundable unless an applicable agreement or law provides otherwise. Project-specific cancellation and refund terms may be set out in proposals, statements of work, invoices or other written agreements.

15. Changes to These Terms

We may update these Terms periodically. Revised Terms will be published on this page with an updated effective date.

16. Governing Law

These Terms are governed by applicable laws of the jurisdiction specified in the relevant client agreement and, where no such agreement exists, applicable law governing WING's business operations, without limiting rights that cannot legally be waived.
